The rules
for using madenew.

These Terms of Use ("Terms") are a legal agreement between you and MADENEW A NONPROFIT CORPORATION, a Washington nonprofit corporation doing business as madenew ("madenew," "we," "us," or "our"). By accessing or using madenew.ch (the "Site") or any related services, content, or features (collectively, the "Services"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services.

madenew is a small media studio publishing a podcast, journal, essays, and related creative work. MADENEW A NONPROFIT CORPORATION is currently in formation as a Washington nonprofit corporation; references to 501(c)(3) tax-exempt status will be added upon receipt of the IRS determination letter.

The Services are intended for users 13 years of age or older. By using the Services, you represent that you are at least 13 years old (or the minimum age of digital consent in your jurisdiction if higher) and that you have the legal capacity to enter into these Terms.

The Services do not currently require an account. If you sign up for our newsletter, you are responsible for the accuracy of the email address you provide and for keeping your information current. You may unsubscribe at any time using the link in any email or by contacting hello@madenew.ch.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third party's rights.
• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Services, our networks, or any related systems or accounts.
• Use any automated means (bot, scraper, crawler) to access or harvest data from the Services without our prior written permission, except for search-engine indexing in accordance with our robots directives.
• Reverse engineer or attempt to extract source code from the Services, except to the extent that restriction is prohibited by law.
• Use the Services to transmit malware, spam, phishing, or other harmful content.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use the Services in any manner that could disable, overburden, damage, or impair them.

All content on the Services that is owned by madenew, including text, audio, video, photographs, illustrations, logos, the lamb mark, the "madenew" wordmark, page designs, code, and the selection and arrangement of any of the foregoing, is owned by or licensed to MADENEW A NONPROFIT CORPORATION and is protected by United States and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. We reserve all rights not expressly granted. You may share short quotations and embedded links to our content for personal, non-commercial use with attribution to madenew. Any other use, including reproduction, public display, broadcast, distribution, modification, or creation of derivative works, requires our prior written permission.

The Services do not currently provide features for posting user content. If you choose to send us content (for example, by email, including ideas, suggestions, or proposed contributions), you grant madenew a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and create derivative works of that content for the purpose of operating and improving the Services. You represent that you own or have all necessary rights to the content you send.

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by madenew. We are not responsible for the content, policies, or practices of any third-party site or service. Your interactions with third parties are solely between you and the third party.

The Services may, now or in the future, allow you to make charitable contributions to MADENEW A NONPROFIT CORPORATION. Until our 501(c)(3) determination letter is received from the Internal Revenue Service, contributions are not represented as tax-deductible. We will update this section and our donation pages with the appropriate disclosures (including our EIN and the statement that donations are deductible to the extent permitted by law) once 501(c)(3) status is granted. Contributions are non-refundable unless required by applicable law or noted at the time of donation.

State-specific charitable solicitation disclosures required by states in which madenew solicits or accepts contributions will be added here following counsel's review and the completion of state registrations.

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Services will be uninterrupted, secure, or error-free.

Content on the Services is provided for general informational and educational purposes only and is not intended as, and should not be considered, professional advice, including legal, medical, financial, psychological, or pastoral advice. You should consult a qualified professional for advice tailored to your situation.

To the fullest extent permitted by law, in no event will MADENEW A NONPROFIT CORPORATION or its directors, officers, employees, volunteers, agents, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if madenew has been advised of the possibility of such damages.

To the fullest extent permitted by law, madenew's total liability arising out of or related to these Terms or the Services will not exceed one hundred U.S. dollars (US $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless MADENEW A NONPROFIT CORPORATION and its directors, officers, employees, volunteers, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual property or privacy right.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and this provision, will survive.

These Terms are governed by the laws of the State of Washington, U.S.A., without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in [KING COUNTY, confirm venue with counsel], Washington, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated more prominently. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and madenew regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver. You may not assign or transfer these Terms; we may assign them in connection with a merger, acquisition, sale of assets, or by operation of law.
